Strategic Metals poised to drill wholly owned high-grade gold project

Well-run project generators are brick houses in a speculative corner of the market, where the winds of commodity prices and dilution are often house wreckers. Their share prices are typically backstopped by healthy treasuries, royalties and equity stakes, as well as extensive claims holdings. They are businesses, not cash-burning lottery tickets like most junior explorecos.

But for many speculators, that level of diversification is a knock. Those bricks provide stability but weigh down the “rocket ship” when a junior exploration company hits a bona fide high-grade gold discovery. Project generators typically retain only limited exposure to discoveries through royalties or small equity stakes.

The picture changes completely, however, when project generators make a high-grade discovery on a wholly owned project. Azimut Exploration (AZM-V) proved it in January with their Patwon gold discovery at the Elmer property in Quebec. Azimut is Quebec’s largest claims holder, diversified across metals and known for its technical savvy. On January 14, the project generator announced multiple high-grade gold intercepts at the James Bay project, including 12.43 g/t Au over 6 metres and 27.36 g/t Au over 4.7 metres.

The day before the discovery was announced, Azimut shares closed at 50 cents (@ $31M market cap). The stock rocketed to $1.50 the following day and remains at about that level, despite the uncertainty and tough market conditions that persist in the junior mining complex. COVID-19 forced the suspension of Azimut’s follow-up 6,000-metre diamond drill program at Patwon.

Azimut closely resembles another project generator with a wholly owned gold project that will be drilled this summer: Strategic Metals (SMD-V, SMDZF-OTC). Strategic, Yukon’s largest claims holder, is cashed-up to drill its Mount Hinton high-grade gold prospect in the Yukon Territory’s Keno Hill district. Strategic plans to spend about $3 million to explore Mt. Hinton this season, including up to 6,000 metres of drilling (diamond and RAB).

The program, of course, is dependent on how the Coronavirus pandemic plays out in the coming months. In Yukon, mining and exploration have been designated an essential service.

Strategic shares currently trade at about 35 cents, for a $34-million market capitalization. It’s a far cry from the $4.35 level ($381M market cap) that the stock hit in 2011. That share price was propelled by gold’s rise to US$1,900 an ounce — less than $200 an ounce higher than current levels — as well as ATAC’s high-grade gold discoveries at the Rackla property in Yukon (ATAC is part of the Strategic Exploration Group).

But the veteran geologist says he’s more excited about Mount Hinton because of the volume of high-grade gold found at surface at such an early stage, during what appears to be a perfect storm for the gold price.

“Mount Hinton is the same kind of setup but the project is much more readily accessible than Rackla and it’s earlier-stage,” Eaton said. “It’s much more exciting than ATAC was at this stage. We have a chance of a major gold discovery under the till or talus.”

Eaton’s comments about Mount Hinton’s possibilities sound like fairly typical Howe Street-style promotion. But a couple of key differences make his observations worth a closer examination:

  • His comments say much more about Mt. Hinton’s prospectivity than they do the potential of ATAC’s Rackla project. Strategic holds a 6.4% stake in ATAC and is incentivized to see the company succeed. Eaton remains a believer that the Rackla deposits will one day produce tens of millions of ounces of gold.
  • Eaton, a geologist, has been working in the Yukon for almost 50 years. He has an almost-encyclopedic knowledge of Yukon mining projects, which helps Strategic snap up forgotten but highly prospective projects. Eaton has been involved in several of the Territory’s major discoveries, including the Casino copper-gold porphyry (now being developed by Western Copper and Gold).

REWIND: In the summer of 2017, Strategic sold six properties including Mt. Hinton to a private company called Territory Metals. The terms of the deal hinted that Mt. Hinton was no ordinary prospect — in addition to a 2% NSR, the agreement included a 10% NSR on any small-scale high-grade gold production and a $1.5-million milestone payment if Territory identified a 1-million-oz gold equivalent resource on any of the properties.

Territory’s go-public plans fizzled and Strategic got the property back. Archer Cathro geologists hit the ground hard in summer 2018. They extended a large geochemical soil anomaly and found multiple rock samples with high-grade gold samples that assayed greater than 9 g/t gold.

Last summer, Strategic hit paydirt with a prospecting program focused on the 3.5-km by 1.5-km gold-in-soil anomaly. One rock sample came back with a bonanza-grade assay: 2,340 g/t gold and 597 g/t silver. Follow up prospecting discovered visible gold at this site (the first reported native gold on the property) and subsequent samples containing visible gold were not assayed. Other chip samples also carried high gold and silver values, including:

  • 42.4 g/t gold & 94.2 g/t silver
  • 9.9 g/t Au & 5.45 g/t Ag over 1 m
  • 24 g/t Au & 36.1 g/t Ag over 1.25 m
  • 23.5 g/t Au & 1,720 g/t Ag
  • 202.0 g/t Au & 2,020 g/t Ag

The property has not seen much exploration despite its proximity to Alexco’s Keno Hill project — Mt. Hinton is just three kilometres south of Alexco’s Bellekeno deposit. That’s largely because of road access difficulties. But the situation has improved dramatically in recent years thanks to the thriving Granite Creek placer gold camp, located at the base of Mount Hinton. Two placer operators are pulling out multi-ounce gold nuggets and the Granite Creek drainage has become one of Yukon’s hottest gold camps.

Strategic brought in excavators last year to build a road network on the property, an effort that will continue this year once the snow melts. The planned 6,000-metre drill program is a large one for Strategic but so is the size of the potential prize. “To find this material at surface is remarkable,” Eaton remarked. Strategic geologist Steve Israel has now mapped three separate phases of mineralization on the property. More phases means higher volumes of mineralizing fluids, which can lead to more gold.

With Mount Hinton a potential near-term catalyst, Strategic’s share price — and downside — is backstopped by a healthy treasury of $6.8 million and large equity stakes, as well as its extensive Yukon claims portfolio. Significant equity stakes include:

  • ATAC Resources (6.4%): high-grade gold deposits on the Rackla property
  • Rockhaven Resources (36.3%): h-g 1.2M oz Au/28M oz Ag deposit, on a road
  • Terra CO2 (62.6%) – pending patent on non-CO2 generating cement replacement
  • Precipitate Gold (24.3%) – Barrick just signed a 70% earn-in agreement for Precipitate’s Pueblo Grande project beside Barrick’s Pueblo Viejo mine in Dominican Republic
  • Silver Range Resources (17.7%) – project generator focused on high-grade prospects in Nevada, NWT, Nunavut

With gold moving in the right direction, the Mt. Hinton drill program positions Strategic to capture the shareholder value that can result from a high-grade discovery. It’s an outcome Eaton has seen before — and why he kept Mt. Hinton in the portfolio when it came back, rather than optioning it.

“We’ve turned down some pretty good offers for Mt. Hinton,” he remarked. “That’s because everybody wants 100% of it.”

Gold is on the move as governments around the world fire up currency printing presses to counter the economic effects of COVID-19. That lift has not yet translated to the junior sector, despite gold hitting all-time highs in most major world currencies. Eaton believes the malaise of the past several years is partly a generational phenomenon — younger retail investors simply haven’t experienced the large multibagger wins that tend to drive money into the junior space.

“You have a generation of investors who have done well in mining but who are too old,” Eaton said. “The generations of younger investors haven’t benefited the way people who are older did in prior bull markets.” That may be about to change.

A high-grade gold discovery at Mount Hinton could trigger a rush to get into Strategic shares, if the action on Aug. 21, 2019 is any indication. That day, Strategic announced high-grade assays including the bonanza-grade rock sample. The stock shot from 39 cents to 47 cents on multiples of average volume. It could be just a taste of what’s to come if Strategic drills a high-grade gold discovery at Mount Hinton this summer.

Risk and opportunity: Q&A with Strategic Metals CEO Doug Eaton

Strategic Metals CEO Doug Eaton has faced a few grizzly bears in his decades of stomping around the Yukon as an Archer Cathro geologist. And he’s been an exec in the junior exploration business long enough to ride out several bear markets. The key to both experiences: don’t get gored.

The Archer Cathro principal has also seen the other side of the coin, though — the one some junior resource speculators fear may never return. In the summer of 2011, ATAC discovered high-grade gold at Osiris, sending ATAC shares above $10 and Strategic shares above $4. Strategic continues to hold a large ATAC stake, currently 6.9%. Those moves occurred as the gold price approached highs of US$1,900 an ounce.

Current share price levels tell the tale of this bear market, and of the long slide down. Strategic shares trade at 41 cents and ATAC shares are stuck in the 52-cent range, near 52-week lows. ATAC recently announced a maiden resource estimate at Osiris, scene of that 2011 discovery hole, of 1.685 million ounces (Inferred) at 4.23 g/t Au, including a pit-constrained resource of more than 1 million ounces.

Eaton is philosophical about the continuing bear market as Strategic advances its properties (121 wholly owned) and looks for optioners. Lately the company has been doing deals on its cobalt and vanadium projects, as battery metal prices continue to rise amid surging demand and limited supply. And he is very bullish on Rockhaven Resources (RK-V), which recently published a resource update at its Klaza project. Eaton has been adding to his personal Rockhaven stake (currently 9.1% of outstanding shares) and Strategic Metals has also been bulking up, taking their stake to 40.23%.

The number of global ounces at Klaza actually dropped in the resource update, but Rockhaven converted 686,000 ounces from the Inferred to Indicated categories. There was also a significant upgrade in pit-constrained tonnes and grade, including 232,000 ounces of gold (Indicated) at grades of 9.5 g/t in the Western BRX zone. Rockhaven is looking at several processing changes, Eaton noted, including a pre-crushing circuit that would both increase ore grades and reduce processing costs.

I recently caught up with Eaton to talk battery metals, bear markets, and why there isn’t more M&A in this beaten-down sector.

Q: Do mining stocks deserve their poor reputation?

As an industry, we have executed quite badly. We have a tendency to disappoint more frequently than exceed expectations. In exploration, because of the nature of the business, that’s a given. In mining, it shouldn’t be.

Meanwhile, the U.S. markets continue to rise. It’s like stepping onto an escalator, it just keeps going up and up (Facebook shares were recently hit hard, post-interview, after the company missed earnings projections). But it takes such a tiny, tiny reallocation of assets back into resources and it’s going to be like a tsunami force.

Q: What catalysts besides a rising gold price could revive the junior exploration market?

We need buyouts of juniors and for people to redeploy money into the juniors. We’re starting to see it with South32 buying Arizona Mining and Orion Mine Finance buying Dalradian. But the retail market is gone and the big banks won’t touch the sector.

Q: Does Strategic Metals have exposure to the battery metals?

We are working on vanadium and cobalt deals. We went through the digital geochem database looking for cobalt showings. We found 20 properties in total and four with cobalt clusters. We did the same with vanadium and were expecting the same kind of result, but we came up with three strong vanadium properties.

Q: Why are you personally, and why is Strategic Metals, loading up on Rockhaven shares, given the size of your existing stakes? (Amount insiders have spent buying Rockhaven shares in the past 3 months: Eaton $50,000 at 13-15 cents, Strategic Metals $72,000 at 13-15 cents, CEO Matt Turner $19,000 at 13 cents.)

The only other time in my career that I’ve seen such low-hanging fruit was in 2008 when we were buying ATAC shares at 10 cents and the stock went to 10 bucks. Rockhaven now has an immediacy that ATAC doesn’t. And there is huge exploration potential that gets no credit. It’s not hard to see Klaza reaching 3-4-5 million ounces if you go up-dip and down-dip from deep, really good hits. I think there’s at least 5 million ounces there.

Come on guys, the writing is on the wall. We effectively told you we have a mine here. At the Western BRX we’ve got a pit with a quarter million ounces at above 9 grams per tonne. Do the math. What the hell is the matter here?

Q: Well, why aren’t majors capitalizing more on low valuations in this sector?

The majors have a habit of overpaying at the top of the market. They are running so fast that their tongues are hanging out, trying to keep up production levels. The majors are high-grading their deposits and not replacing the reserves.

On some of the recent major investments into juniors, they are predatory and smart, quite frankly. But most are not even thinking about new acquisitions, despite the fact they’re depleting their reserves. As a rule, mining companies are run by bean counters and engineers. Mining engineers are the least imaginative people I’ve ever met when it comes to deal making.

If I’m a major or mid-tier mining company, and looking for an economic deposit, I would look for an established resource that has lots of blue sky. Klaza fits the bill.

Q: What approach is Strategic Metals taking in tough market conditions?

We are keeping our powder dry and doing smart deals. It’s a bit of a holding pattern but sometimes the best deal is the one you don’t do. Timing is key.

An UnderValued Mining Play in a Storied Gold District

Strategic Metals (SMD-V) is spinning out Trifecta Gold, with 4 projects in Yukon’s hot White Gold district

First-mover philosophy helps Strategic beat the majors into Yukon’s best area plays

Fortunes are made, and sometimes lost, in the great mining rushes that drive people, prospectors and dollars on the heels of exciting discoveries. One of the greatest was the Klondike Gold Rush of 1896-1899, kicked off by the August 1896 discovery of gold at Bonanza Creek by Skookum Jim, Dawson Charlie, George Carmack and Kate Carmack.

Almost a year after the discovery, the SS Portland steamship arrived in Seattle. Among its passengers were several of the most successful Yukon prospectors. Its cargo included more than one tonne of gold. Two days earlier, another gold-laden ship had landed in San Francisco. In Seattle, a crowd of thousands greeted the Portland. The Seattle Post-Intelligencer newspaper screamed “Gold! Gold! Gold! Gold!” in a banner headline. The race was on.

Treasure hunters came by the tens of thousands. But they soon discovered that the prime land around gold-rich creeks had already been staked by prospectors in the Yukon. For some who got in early, it was a ticket to riches.

Fast-forward 120 years and another gold rush is taking shape in the mineral-rich Yukon. This one is being led by major gold mining companies, who are systematically buying up stakes in exploration companies in a jurisdiction the Fraser Institute describes as one of the best in the world. Goldcorp (G-T) kicked off the new gold rush in May 2016 with its $520-million purchase of Kaminak Gold and the multi-million-ounce Coffee deposit in the hot Dawson Range gold belt.

In the original Gold Rush, those who arrived early — before the crowd — were most likely to secure their fortunes. It’s no less true today. In the hunt for geological riches, “location, location, location” is key for majors in search of the next big gold district. Public companies that can secure valuable land positions — and investors who get in early — will be the biggest winners.

ENTER BARRICK
The latest major to enter the Yukon is Barrick Gold (ABX-T), the world’s largest gold miner. In an option deal announced April 10, Barrick will invest up to a total of $63.3 million in ATAC Resources (ATC-V) for a staged buy-in that will give the miner up to a 70% interest in ATAC’s Orion project. The deal includes a flow-through private placement financing of $8.3 million that takes Barrick’s stake in ATAC to 19.9%. It’s a good deal made even better because the Orion project does not include ATAC’s major discoveries — Tiger, Conrad and Osiris.

Given Barrick’s history, the partnership with ATAC is a natural. In 1986, Barrick acquired the small Goldstrike mine in Nevada’s Carlin trend. Barrick soon hit a rich discovery and Goldstrike turned into a company maker, delivering enormous profits and 50 million ounces of gold production (and counting) to Barrick. ATAC has North America’s only known Carlin-type gold mineralization outside Nevada at its vast Rackla project in Yukon. And it was ATAC’s 2011 discovery of Carlin-type gold at Rackla that sent the company’s stock above $9 that year.

PRIME POSITIONING
As the largest claims holder in the Yukon, no company is better poised to benefit from the majors’ renewed Yukon interest than project generator Strategic Metals (SMD-V). Strategic holds valuable land positions in each of Yukon’s major mineral belts, assembled over decades using the proprietary database of storied geological consultancy Archer, Cathro & Associates. Archer Cathro has had a hand in most of the Yukon’s major mineral discoveries and deposits.

In each of the recent investments by majors, Strategic had already staked claims and was positioned in the neighbourhood. The growing list of majors that have stepped up to secure their Yukon stakes is a who’s who of gold miners. Their investments validate Strategic’s early-mover philosophy.

The Barrick-ATAC deal was just the latest example. Strategic owns more than 10.1 million shares of ATAC Resources, an 8.3% stake that has increased in value more than 50% since the JV deal was announced. Strategic also has several claims and large land positions adjacent to much of ATAC’s Rackla project in Yukon’s Nadaleen Trend.

Of any of the investments by majors, Newmont’s deal with Yukon junior Goldstrike Resources (GSR-V) may have been the most surprising. The agreement, announced March 6, includes a private placement and could see Newmont invest up to $53 million for a majority stake in Goldstrike’s Plateau gold project in the east-central Yukon. It was another case of Strategic beating the majors to a potential district — the project generator had already staked ground in the prospective area. And on April 6 Strategic announced that it had added to its land position near Plateau through staking.

Goldcorp and Coffee — yes, Strategic was already there. It was Strategic CEO Doug Eaton who staked the Dan Man property, which borders Coffee’s northern boundary and is owned by Arcus Development Group (ADG-V). The Coffee gold mineralization extends right to the Dan Man property boundary and Goldcorp followed up its purchase of Coffee by buying a 19.9% stake in Arcus. Strategic owns 3,333,333 Arcus shares, a 4.5% stake in the company. Arcus is planning a 2017 drill program at Dan Man, with technical help from Goldcorp.

A NEW WHITE GOLD PLAY, FOR ‘FREE’
But the Strategic Metals holding with potentially the most upside remains under the radar, its worth yet to be determined by the market. The company is Trifecta Gold, a new precious metals exploration company that will come out of the gate with four projects in the Yukon’s hot White Gold district. Pending shareholder approval — the vote is this Friday — Trifecta shares will be spun out of Strategic Metals early next month. Strategic shareholders will receive one Trifecta common share for each 4.5 Strategic shares held. Trifecta shares will trade as “TG” on the TSX Venture Exchange.

For Trifecta, the last gold play to go public in the prolific district offers a glimpse at the possibilities. It was White Gold Corp (WGO-V), which holds a large land package after purchasing Yukon prospector Shawn Ryan’s White Gold claims. Ryan, of course, helped put the district on the map with discoveries that culminated in buyouts from Kinross (Golden Saddle in 2010) and Goldcorp (Coffee in 2016). He’s also chief technical advisor for the new exploration play. In late 2016, Agnico Eagle paid $14.5 million for a 19.9% stake in the company, valuing White Gold Corp. at $72.5 million. The market capitalization has since surged past $130 million.

White Gold’s trajectory is evidence that the Dawson Range belt has become one of the hottest gold exploration districts globally. With gold approaching US$1,300 an ounce and risk capital tentatively returning to the exploration sector, the timing couldn’t be better.

The renewal of action and interest bodes well for Trifecta Gold stock, which is expected to begin trading in early May. The share distribution record date is set for April 27. Investors who own Strategic shares before that date are staking their claim to a promising, tightly held exploration play before the stock hits the public market. Strategic will retain about 9.8% of Trifecta shares and distribute the rest to its shareholders.

Trifecta’s properties in the Dawson Range gold belt are:
Eureka — Eureka is a 70-sq-km orogenic gold project at the southern end of the Klondike Goldfields. The Eureka claims straddle the headwaters of two of the most productive placer creeks — Eureka and Black Hills — in the southern Klondike. The creeks have spit out a reported 200,000 ounces of placer gold between 1978 and 2016, and the gold’s attributes suggest that it’s near source. Eureka is drill-permitted and exploration will focus on a handful of showings identified by soil geochemistry, trenching and drilling. Eureka is along the proposed haulage route to Goldcorp’s Coffee project and could progress quickly from exploration to development.

Triple Crown and Treble — The properties are located halfway between Coffee and Rockhaven’s (RK-V) Klaza, a polymetallic gold deposit. Initial prospecting at Triple Crown yielded a rock sample assaying 6,680 g/t silver, 30.22% lead and 0.80 g/t gold. A follow-up trench there returned 570 g/t silver, 2.76% lead, 0.08 g/t gold over 6.4 metres and 106 g/t silver, 0.84% lead and 0.03 g/t gold over 9.6 metres. There are several geochemical anomalies at Treble; 2011 prospecting at one of them revealed a 100m by 120m zone of brecciated hydrothermal quartz and gold mineralization in rock samples.

Trident — The road-accessible Trident property consists of 525 claims, 195 wholly owned by Strategic and 330 optioned from two other companies. At the Squid project, optioned from Metals Creek Resources, limited drilling returned results including 21.0 metres of 1.55 g/t gold and 114 g/t silver and 12.0 metres of 1.7 g/t gold and 81.78 g/t silver.

Trifecta’s CEO, Dylan Wallinger, witnessed firsthand the type of shareholder value that discovery can create during the summer of 2010. Working out of Archer Cathro’s Whitehorse office, Wallinger was part of a small field crew at ATAC’s Rau property, where his duties included everything from prospecting to splitting core. The project was not yet a major focus for ATAC. But that changed quickly when assays were returned from one of the cores Wallinger split. It turned out to be the Osiris discovery hole announced on Sept. 1, 2010, which returned 9.26 g/t gold over 31.13 metres within a larger interval averaging 4.65 g/t over 65.20 metres.

That discovery, as gold surged toward an eventual peak of US$1,900/oz the following year, was one of the catalysts that fuelled ATAC’s rocket ride in 2010 and 2011. The stock climbed above $8 in 2010 and cracked $9 the following year on excitement about the discovery of a new Carlin-type gold district outside of Nevada.

TRIFECTA CEO: ‘PROVE IT OR KILL IT’
As president and CEO of Trifecta, Wallinger will have the chance to play a more central role in creating shareholder value. The former Archer Cathro project manager has stepped down as a partner with the geological consultancy to focus on Trifecta. Strategic is seeding Trifecta with about $750,000. Depending on the work program, Wallinger knows he’ll have to raise more money. The CEO wants to finance at higher prices than where Trifecta shares start trading.

Trident may be Trifecta’s most intriguing project. The road-accessible property hosts an air strip and several roads, as well as gently sloping terrain amenable to a mining operation. There are drill permits in place but Trifecta has applied for more extensive permits. Trident has resource-sharing possibilities — there’s a producing placer mine on the property — but also spending obligations. On the Squid option, Trifecta must spend a minimum of $500,000 in the first year ($2.25 million over three years and issue 6.5 million TG shares) as part of a staged 60% earn-in.

Wallinger says Trifecta won’t spend any more than necessary to either prove mineralization at the optioned claims or walk away. If results are positive, the company plans to mobilize more drills, heavy equipment and fuel by road and continue to work into late fall. “The idea is to go in and explore aggressively, and prove it or kill it,” Wallinger says.

Strategic has more than 100 wholly owned projects in Yukon available for option, many of which are drill-ready and fully permitted for advanced exploration.The company also has an investment fund with dozens of junior exploration investments at various stages of development. Strategic owns major stakes in:

Rockhaven Resources (RK-V) — Strategic owns a 45.2% stake in Rockhaven, which is expanding and advancing the high-grade, polymetallic Klaza deposit towards production;
Precipitate Gold (PRG-V) — Strategic owns 31.2% of Precipitate, which is advancing the flagship Juan de Herrera project located within the emerging Tireo Gold Camp in the Dominican Republic;
Silver Range Resources (SNG-V) — Strategic owns 15.3% of Silver Range, which owns four zinc-lead-silver projects in Yukon and high-grade gold projects in NWT, Nunavut and Nevada.

For some mining-focused investors, one of the knocks on project generators is a structure that prevents them from capturing the full shareholder value driven by discovery. But with the spinout of Trifecta Gold, Strategic is changing the game by surfacing value unrecognized by the market. Shareholders will have exposure to both discovery upside in one of the world’s hottest exploration districts AND the diversification of Strategic’s valuable shareholdings and Yukon claims. The price tag is low — Strategic’s working capital amounts to almost $40 million currently and its market cap is just $50 million.
